The members of the Oakland County Sportsmen’s Club - FISHING SUB CLUB, here after known as ‘The Oakland County Sport Fishing Club’ or ‘OCSFC’, must all be members of the Oakland County Sportsmen’s Club and have adopted the following bylaws governing the management and regulation of the affairs of their organization.
Name and Association
The name of this organization is The Oakland County Sport Fishing Club (OCSFC), and shall be referred to throughout this document as the “OCSFC”
The OCSFC is governed by the guidelines established in The OAKLAND COUNTY SPORTSMEN’S CLUB Constitution and Bylaws. Any conflict with the OCSFC bylaws will be resolved following the OCSC Executive Board and the bylaws of the OCSC.
2.1 Fishing club mission is to:
Promote all species and types of fishing with an emphasis on ethical sportsmanship and education of our youth; focusing on stewardship of our local lakes, rivers, and streams, while encouraging conservation and Improvement of our natural resources.
3.1 The motto of OCSFC is “Making friends …one bite at a time”.
4.1 General Membership. Membership is open to all OCSC members who like to fish, boat, kayak, or otherwise enjoy and protect our water resources.
4.2 Monthly meetings will be held the THIRD WEDNESDAY at 7PM in the OCSC main club.
4.3 Adoption of OCSFC bylaws. OCSC trustees will review for conflict with the main club rules and send to the OCSC EXECUTIVE BOARD FOR REVIEW. Once accepted will be sent to the OCSC BOARD OF DIRECTORS FOR APPROVAL. After approval by the OCSC Board of directors a draft of these bylaws will be presented to the general membership of the OCSFC. All members will have the opportunity to comment and give options to the OCSFC BOARD: The OCSFC BOARD will create a final draft of the bylaws. A final copy of the bylaws will then be presented to the OCSFC general membership the month prior to the vote for adoption. A date for a vote will be agreed upon by the OCSFC membership (March 2019 and then every 5 years thereafter or on a majority vote of the OCSFC Members).
4.4 Quorum. 2 OCSFC board members and 5 OCSFC general members shall constitute a quorum at any meeting of the OCSFC general membership. A majority of OCSFC members present at the OCSFC general meeting shall be required for the adoption of any action by the OCSFC general membership.
5.1 In addition to the required OCSC ANNUAL MEMBERSHIP DUES and any fees required by OCSC, members of OCSFC are to pay a YEARLY membership fee set by the OCSFC board. The OCSFC board will establish the amount of the annual dues. The dues are payable March 1st of the current year through March1st of the following year. Dues are to be collected by the OCSFC treasurer. If an OCSFC member has special circumstances or financial hardship, he or she can request a waiver of the dues from the OCSFC board.
5.2 JUNIOR MEMBERS. Are allowed but will have no voting rights. They may pay annual dues as determined by the “FISHING CLUB” Board.
5.3 GUEST of MEMBERS Are allowed but will have no voting rights. Guest of Members may participate in any and all events, may incur costs higher than OCSC members would pay, and must pay any GUEST FEEs set by OCSC. Guest of Members MUST be accompanied by an OCSC MEMBER to use any OCSC fishing facilities.
Board of Directors
6.1 Number and term of office. All OCSFC members elected to the OCSFC Board of Directors must be active OCSC members in good standing. The OCSFC board shall consist of four directors and 3 “Members at Large” who are elected by a majority of the OCSFC members who are present at the OCSFC general membership meeting.
Each elected director may serve for a two-year term. Directors are eligible for successive terms. There shall be three Members at large and four people specifically elected to fill the position of President, Vice-president, Secretary and Treasurer. Each director shall have one vote.
6.2 Power of the OCSFC board. The OCSFC board will have the authority to establish budgets, approve expenditures, and manage the general affairs of the OCSFC. Approval of these matters shall be by a simple majority of the voting members of the OCSFC board. If a face to face meeting cannot be held, an action required or permitted by the board may be decided using email by all voting directors. A simple majority of the voting directors is a quorum for purposes of transacting business at an OCSFC meeting.
6.3 Vacancies. Any vacancy occurring on the OCSFC board may be filled by the affirmative vote of a majority of the remaining OCSFC directors. Each person appointed to fill a vacancy shall serve for the remainder of the term of office of the director he or she replaced.
6.4 Regular meetings. Regular meetings of the OCSFC board shall be held at such times and places as the board shall determine. Typically, the board shall meet once per month, but in any event the board must meet at least once each year. The OCSFC board will keep regular minutes of its meetings.
6.5 Special meetings. Special meetings of the OCSFC board shall be held whenever called by the president, or by a majority of the directors then in office. Notice of the time and place of each special meeting shall be given to each OCSFC director at least one week before the meeting by email, text, or telephone.
6.7 Role of the officers. The president of the OCSFC shall chair the board meetings. In the absence of the president the chair shall be the vice-president. In the absence of the vice-president, the chair will be elected from the directors present. The secretary shall act as secretary at all meetings of the board; but in the absence of the secretary, the president or chair may appoint any board member as secretary.
6.8 Board selection. A month prior to a vote for OCSFC board members, the president shall announce to the OCSFC general membership the date and time of the election and shall solicit candidates to fill the OCSFC board positions.
6.9 Committees. The OCSFC board may from time to time appoint committees from the directors or the OCSFC general membership and shall provide for their powers and duties. Each committee shall keep regular minutes of its meetings and report them to the OCSFC board.
7.1 Positions. The officers of the OCSFC shall consist of 7 members: president, vice-president, secretary, treasurer, and three Members at Large.
7.1.1 as a sub-club of OCSC, the OCSFC will have 3 seats on the OCSC Board of directors.
7.2 Officer selection. The officers will be elected by the OCSFC general membership at an OCSFC general meeting.
7.3 President. The OCSFC president shall preside at all meetings and serve as an ex-officio member of all OCSFC committees. The president shall have general active management of the affairs of the organization, shall preside over meetings of the OCSFC board of directors and the members, shall see that the orders and resolutions of the board are carried out, have authority to sign on behalf of the organization, and perform such other duties as designated to the president by OCSFC board. The president may delegate any of the president’s powers to any officer or such other board member as he or she may designate.
7.4 Vice president. The OCSFC vice-president shall perform all duties of the president in the president’s absence, help DEVELOP PROGRAMS for the monthly meetings and shall perform such other duties as assigned by the board.
7.5 Secretary. The OCSFC secretary shall prepare and provide the minutes of all meetings of the OCSFC board or OCSFC general membership and preserve records of ongoing affairs of the OCSFC. The secretary shall be responsible for written correspondence of the OCSFC including but not limited to “The Bite” for publication in the OCSC MONTHLY MAGAZINE “THE SPORTSMAN”. The secretary shall give, or cause to be given, notice of all meetings of the OCSFC board and all other notices required by these bylaws. In case of his or her absence or refusal or neglect to do so, any such notice may be given by any person directed by the president.
7.6 Treasurer. The OCSFC treasurer shall collect and record all OCSFC member dues and funds given to the OCSFC. The treasurer shall keep accurate financial records of the organization IN CONJUNCTION WITH, AND UNDER THE GUDANCE OF, THE OCSC TREASURER . The OCSFC treasurer shall provide/present a financial statement at the regular meetings of the OCSFC board or OCSFC general membership. The treasurer shall maintain a petty cash fund as determined by the OCSFC board. The OCSFC treasurer shall keep accurate financial records for the organization, deposit money, drafts, and checks in the name of and to the credit of OCSC in banks and depositories designated by the OCSC board, endorse notes, checks, and drafts received by the organization, disburse funds and issue checks and drafts as ordered by the OCSFC board, and upon request provide the OCSFC and OCSC board of directors and the members with an account of the transactions of the treasurer and the financial condition of the organization.
The OCSFC board shall appoint, as necessary, members of the OCSFC, who are willing to serve to leadership positions such as CAPTAIN of EVENTS, HARBOR MASTER etc. Their responsibilities shall be defined by the OCSFC board.
Changes in bylaws
Any proposed changes to the OCSFC BYLAWS WILL BE SENT TO THE OCSC trustees WHO will review for conflict with the main club rules and then send to the OCSC EXECUTIVE BOARD FOR REVIEW. Once accepted they will will be sent to the OCSC BOARD OF DIRECTORS FOR APPROVAL. After approval by the OCSC Board of directors a draft of these bylaws will be presented to the general membership of the OCSFC.These bylaws can be changed at an OCSFC general membership meeting by a 75% majority of the OCSFC membership assembled. Proposed changes to the bylaws must be submitted to the OCSFC membership 1 MONTH prior to the scheduled OCSFC general membership meeting. Any OCSFC member may submit proposed changes to the OCSFC board of directors and this board of directors shall then submit these proposals to the OCSFC membership at the OCSFC general membership meeting.
